Terms and Conditions of Service: Bo Visuals LTD

1. General
These Terms and Conditions apply to all services provided by Bo Visuals LTD (“The Consultant/Producer”) to the client (“The Client”). By commissioning a project, the Client agrees to be bound by these terms.
2. Quotations & Booking
- All quotes are valid for 30 days.
- A project is only considered “booked” once the Client has paid a non-refundable deposit of 50% of the total project fee and returned a signed production agreement.
3. Payment Terms
- The remaining 50% balance is due upon approval of the final edit and prior to the delivery of high-resolution, unwatermarked files.
- We operate on a “Payment Before Delivery” basis.
- Late payments will incur a fee of 8% above the Bank of England base rate per month, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
4. Revisions & Scope
- Unless otherwise stated, all projects include two (2) rounds of minor creative revisions.
- Revisions must be requested within 7 days of receiving the draft.
- Major changes to the original brief or additional revision rounds will be billed at our standard hourly rate of [Insert Rate, e.g., £75/hr].
5. Cancellations & Rescheduling
- If a shoot is cancelled or rescheduled by the Client with less than 48 hours’ notice, the Client will be liable for 100% of the crew fees and equipment rental costs.
- Cancellations made between 48 hours and 7 days will forfeit the initial deposit.
6. Intellectual Property & Usage
- Copyright: Bo Visuals LTD retains the copyright to all original footage, raw files, and creative designs.
- Licensing: Upon full payment, the Client is granted a perpetual, non-exclusive license to use the final delivered assets for the agreed-upon purposes (e.g., Social Media, Website, Internal).
- Raw Footage: We do not provide raw footage as standard. If the Client requires raw files, an additional “Buyout Fee” will apply.
- Portfolio Rights: Bo Visuals LTD reserves the right to use portions of the final assets for self-promotion and portfolio display unless a Non-Disclosure Agreement (NDA) is signed prior to the shoot.
7. Equipment & Liability
- If a shoot is delayed due to circumstances beyond our control (e.g., weather, lack of access to location provided by the Client), the Client remains liable for the full day rate.
- Bo Visuals LTD maintains Public Liability Insurance. However, the Client is responsible for ensuring the safety and insurance of their own staff and premises.
8. Governing Law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
